Course Description: 

One of the major events in the professional life of endodontists and other dental professionals is the purchase or sale of a practice or a partnership in a practice. Such an event involves numerous important legal and financial considerations. This program provides an overview of the transaction process and essential substantive legal aspects of the practice/partnership transition presented by a lawyer with over 3 decades of experience representing dentists and dental practices.

At the conclusion, participants should be able to:

  • Answer common questions and challenges about practice transitions. 
  • List the types of legal documents are necessary to buy or sell a practice?
  • Explain contingencies, representations, warranties, indemnifications and a closing, and how do they affect me in a practice transition.

WILLIAM M. MANDELL (bill@piercemandell.com) is a shareholder in the Boston law firm of Pierce & Mandell, PC, www.piercemandell.com. and leads the firm’s health/dental and business law practice areas. He has over 30 years of experience representing local and national health care systems, hospitals, medical and dental practices, physicians, dentists and other licensed professionals, medical societies, and other provider organizations on all aspects of health/dental, employment and business law, including merger and acquisition transactions and practice transitions. Mr. Mandell is also the author of several publications on legal compliance and health law. He has served as co-chair of the Boston Bar Association Health Law Section and is a frequent panelist and speaker in continuing education programs for the bar and medical professions. He is a member of the American Health Lawyers Association. He has served as an adjunct faculty member at Suffolk University Law School. He is listed in the 2019 Best Lawyers in America for his work in the area of health law; he has also been listed as a "Massachusetts Super Lawyer" in health law by Boston Magazine and New England Super Lawyers for over the past ten years. Mr. Mandell is a 1982 graduate Cum Laude of Brandeis University and he received his juris doctor from Boston College Law School in 1986.
